License Agreement

1. Dual License Structure

Baasix consists of two separate components with different licenses:

1.1 Backend Framework (Open Source)

The Baasix backend is licensed under the MIT License and is completely free and open source. You may:

• Use it in any commercial or non-commercial project
• Modify and distribute the backend code
• Include it in proprietary software
• Use it with localhost domains indefinitely (free)
• Self-host on your own infrastructure

The backend source code is available at github.com/tspvivek/baasix

1.2 UI Management Tool (Proprietary)

The Baasix UI is proprietary software that requires a paid license for production use. This license agreement governs your use of the Baasix UI.

2. Grant of License

Subject to your compliance with this Agreement and payment of applicable fees, we grant you a non-exclusive, non-transferable license to:

• Install and use the Baasix UI on domains covered by your license
• Access the web-based admin interface and visual schema designer
• Receive software updates and bug fixes during your license period
• Use the UI for internal business operations

3. License Types and Pricing

3.1 Development License (Free)

• Cost: Free
• Usage: Localhost domains only (localhost:*, 127.0.0.1:*, *.local)
• Duration: Unlimited
• Support: Community support via GitHub

3.2 Yearly Production License

• Cost: $9.99 per production domain per year
• Usage: One production domain (e.g., admin.yourapp.com)
• Duration: 12 months from purchase date
• Renewal: Auto-renews unless canceled
• Support: Email support with 48-hour response time

3.3 Lifetime Production License

• Cost: $69 per production domain (one-time payment)
• Usage: One production domain (e.g., admin.yourapp.com)
• Duration: Lifetime (no expiration)
• Support: Email support with 24-hour response time

Important: Each production domain requires a separate license. Subdomains of the same domain (e.g., admin.app.com and api.app.com) are considered separate domains and require individual licenses.

4. License Restrictions

You may NOT:

• Create, develop, or distribute a competing UI or admin interface product that replicates or substantially mimics Baasix UI functionality
• Offer Baasix UI as a managed service or SaaS product to third parties without explicit written authorization
• Reverse engineer, decompile, or disassemble the Baasix UI
• Remove or modify any proprietary notices or labels
• Transfer, sublicense, or resell your license to third parties
• Bypass, circumvent, or disable license validation mechanisms
• Use the UI on domains not covered by your license
• Share license keys with unauthorized parties

CRITICAL: Creating a competing admin interface, UI builder, or visual schema designer product using Baasix code (backend or UI) is strictly prohibited and will result in immediate license termination and legal action.

5. Domain Validation

The Baasix UI includes domain validation mechanisms that verify:

• Your license key is valid and not expired
• The domain you're using matches your licensed domain
• Your license has not been revoked or suspended

Localhost domains (localhost:*, 127.0.0.1:*, *.local) are always exempt from license validation.

6. License Transfer

You may transfer your license to a different domain under these conditions:

• Contact support@baasix.com with your request
• Provide proof of ownership for both old and new domains
• Lifetime licenses: Unlimited transfers allowed
• Yearly licenses: Maximum 2 transfers per year
• Transfer requests processed within 2 business days

7. Updates and Support

7.1 Software Updates

All active licenses include:

• Access to all minor version updates (e.g., 1.1.x to 1.2.x)
• Security patches and bug fixes
• Performance improvements and optimizations

Major version updates (e.g., 1.x to 2.x) may require additional payment for new features, but critical security updates will always be free.

7.2 Technical Support

• Development (Free): Community support via GitHub issues
• Yearly License: Email support with 48-hour response time
• Lifetime License: Email support with 24-hour response time

8. Termination

8.1 Termination by You

You may terminate this license at any time by:

• Canceling your yearly subscription (no future charges)
• Uninstalling the Baasix UI from your servers
• Ceasing all use of the proprietary UI components

Note: You may continue using the open-source backend indefinitely under the MIT License.

8.2 Termination by Us

We may immediately terminate or suspend your license if you:

• Violate any terms of this Agreement
• Attempt to create a competing UI product
• Bypass license validation mechanisms
• Engage in fraudulent or illegal activities
• Fail to pay renewal fees (yearly licenses)

Upon termination for violation: No refunds will be provided, and you must immediately cease using the Baasix UI.

9. Intellectual Property

Ownership:

• Baasix UI: All rights, title, and interest remain with Baasix and its licensors
• Baasix Backend: Licensed under MIT; copyright notices must be preserved
• Baasix name, logo, and trademarks: Proprietary and protected
• Documentation: © Baasix. All rights reserved.

You retain all rights to data, content, and applications you create using Baasix.

10. Warranty Disclaimer

THE BAASIX UI IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THIS AGREEMENT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE LICENSE IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Refund Policy

We offer a 30-day money-back guarantee for all license purchases:

• Request refund within 30 days of purchase
• Contact support@baasix.com with order details
• Full refund processed within 5-7 business days
• License will be deactivated upon refund

Exception: No refunds for license terminations due to violations of this Agreement.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions. Any disputes arising from this Agreement shall be resolved exclusively in the courts of [Your Jurisdiction].

14. Changes to This Agreement

We reserve the right to modify this License Agreement at any time. Material changes will be communicated via email to all license holders. Continued use of the Baasix UI after changes constitutes acceptance of the modified terms. For lifetime licenses, changes will not retroactively reduce your granted rights.

15. Entire Agreement

This License Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Baasix regarding the Baasix UI and supersedes all prior agreements and understandings.
